Terms of Service

These Terms of Service (the Terms) constitute a legally binding agreement between you (the User, you, or your) and Warm Taste Lodge LLC, a California limited liability company doing business as Cozy Bite (referred to as Cozy Bite, we, us, or our). These Terms govern your access to and use of the website located at cozybite.autos (the Site) and any related services, content, software, or applications provided by Cozy Bite (collectively, the Services).

Important Notice: By accessing or using the Site or Services in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms in their entirety, you must not access or use the Site or Services.

1. Definitions

For purposes of these Terms, the following definitions apply:

• Content means all text, graphics, images, code, software, data, designs, documentation, and other materials available on or through the Site.
• Services means computer systems design, network architecture, cloud solutions, security consulting, and any other professional services offered by Cozy Bite.
• Site means the website located at cozybite.autos, including all subdomains, pages, and content.
• User means any individual or entity that accesses or uses the Site or Services.

2. Acceptance of Terms

Your access to and use of the Site is conditioned upon your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, clients, and others who access or use the Site or Services. You represent and warrant that you are at least 18 years of age or the age of majority in your jurisdiction, whichever is greater, and that you have the legal capacity to enter into these Terms. If you are accessing the Site or using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

3. Description of Services

Cozy Bite provides computer systems design and related consulting services, including but not limited to custom systems architecture, network design and implementation, cloud migration and management, and information security consulting. The specific scope, deliverables, timeline, and fees for any Services will be detailed in a separate written agreement, statement of work, or service contract executed between you and Warm Taste Lodge LLC (a Service Agreement). In the event of any conflict between these Terms and a Service Agreement, the Service Agreement shall control with respect to the specific Services described therein.

4. Use of the Site

4.1 Permitted Use

You may use the Site for lawful purposes only and in accordance with these Terms. You agree to use the Site only to learn about our Services, contact us regarding potential engagements, and access information that we make publicly available.

4.2 Prohibited Activities

You agree not to:

• Use the Site in any way that violates any applicable federal, state, local, or international law or regulation
• Attempt to gain unauthorized access to any portion of the Site, the server on which the Site is hosted, or any server, computer, or database connected to the Site
• Introduce any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful
• Use any robot, spider, scraper, or other automated means to access the Site for any purpose without our express written permission
• Interfere with or disrupt the operation of the Site or the servers or networks connected to the Site
• Attempt to reverse engineer, decompile, or disassemble any software used on the Site
• Engage in any conduct that restricts or inhibits any other user from using or enjoying the Site
• Use the Site to transmit, distribute, or store material that is unlawful, defamatory, obscene, fraudulent, or invasive of another persons privacy
• Misrepresent your identity or affiliation with any person or organization

4.3 Site Availability

We strive to maintain the availability and performance of the Site but do not guarantee uninterrupted access. The Site may be temporarily unavailable due to maintenance, upgrades, technical issues, or circumstances beyond our control. We reserve the right to modify, suspend, or discontinue any aspect of the Site at any time without prior notice.

5. Intellectual Property Rights

5.1 Our Intellectual Property

The Site and its entire contents, features, and functionality — including but not limited to all text, graphics, logos, icons, images, audio clips, video clips, data compilations, page layout, design, code, and software (collectively, the Cozy Bite IP) — are owned by Warm Taste Lodge LLC, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

The names Cozy Bite, Warm Taste Lodge, the Cozy Bite logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Warm Taste Lodge LLC or its affiliates. You must not use such marks without our prior written permission.

5.2 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and view the Site and to download or print a copy of any publicly available Content solely for your personal, non-commercial use in evaluating our Services. You may not copy, reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, transmit, or otherwise exploit any Cozy Bite IP without our express prior written consent.

5.3 User Submissions

Any information, feedback, suggestions, ideas, or materials you submit through the Site (collectively, Submissions) will be considered non-confidential and non-proprietary. By making a Submission, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, and display such Submission for any purpose related to our business, without compensation or attribution to you. You represent and warrant that your Submissions do not infringe the intellectual property or other rights of any third party.

6. Privacy

Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy carefully to understand our data collection, use, and disclosure practices.

7. Third-Party Links and Content

The Site may contain links to third-party websites, services, or resources that are not owned or controlled by Warm Taste Lodge LLC. We are not responsible for the content, accuracy, practices, or availability of any third-party websites. 8. Disclaimer of Warranties

THE SITE AND ALL CONTENT, MATERIALS, INFORMATION, AND SERVICES AVAILABLE THROUGH THE SITE ARE PROVIDED ON AN AS IS AND AS AVAILABLE BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WARM TASTE LODGE LLC EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT
• WARRANTIES THAT THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS
• WARRANTIES REGARDING THE ACCURACY, COMPLETENESS, RELIABILITY, OR CURRENCY OF ANY CONTENT ON THE SITE
• WARRANTIES ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE

Your use of the Site is at your own risk. We do not warrant that the Site will meet your requirements or that any defects or errors will be corrected.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WARM TASTE LODGE LLC, ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, COMPUTER FAILURE OR MALFUNCTION, OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

• YOUR USE OF OR INABILITY TO USE THE SITE
• ANY CONTENT OBTAINED FROM THE SITE
• UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA
• STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE SITE
• ANY OTHER MATTER RELATED TO THE SITE OR SERVICES

IN NO EVENT SHALL OUR AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).

The limitations and exclusions set forth in this Section 9 apply regardless of the legal theory on which a claim is based, whether in contract, tort (including negligence), strict liability, or otherwise, and even if we have been advised of the possibility of such damages. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In such jurisdictions, our liability is limited to the fullest extent permitted by law.

10. Indemnification

You agree to defend, indemnify, and hold harmless Warm Taste Lodge LLC and its members, managers, officers, employees, agents, contractors, successors, and assigns from and against any and all claims, demands, liabilities, damages, losses, costs, and expenses (including reasonable attorneys fees) arising out of or related to:

• Your breach of these Terms or any Service Agreement
• Your use of the Site or Services
• Your violation of any applicable law, regulation, or third-party right
• Your Submissions, including any claim that your Submissions infringe a third partys intellectual property or privacy rights
• Any fraudulent, negligent, or willful misconduct by you

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. You agree to cooperate with our defense of such claims.

11. Termination

11.1 Termination by You

You may stop using the Site at any time. Termination of your access to the Site does not relieve you of any obligations arising prior to termination, including payment obligations under any Service Agreement.

11.2 Termination by Us

We reserve the right to suspend or terminate your access to the Site, without prior notice or liability, for any reason, including but not limited to your breach of these Terms. Upon termination, your right to access and use the Site will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property rights, warranty disclaimers, limitations of liability, indemnification, and governing law provisions.

12. Modifications to Terms

We reserve the right to modify or replace these Terms at any time in our sole discretion. If a revision is material, we will make reasonable efforts to provide notice by:

• Posting the updated Terms on this page with a revised Last Updated date
• Displaying a prominent notice on the Site for a reasonable period

By continuing to access or use the Site after the effective date of any revisions, you agree to be bound by the updated Terms. If you do not agree to the new Terms, you must discontinue use of the Site. It is your responsibility to review these Terms periodically for changes.

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms and any dispute or claim arising out of or in connection with them or their subject matter (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the State of California and the federal laws of the United States, without regard to conflict of law principles.

13.2 Venue

Any legal action, suit, or proceeding arising out of or related to these Terms or the Site shall be instituted exclusively in the state or federal courts located in Fresno County, California. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

13.3 Informal Resolution

Before filing any formal legal action, you agree to first contact us and attempt to resolve the dispute informally. We will attempt to resolve the dispute informally as well. If the dispute is not resolved within sixty (60) days of your initial notification, either party may proceed with formal legal action consistent with these Terms.

14. Service Agreements

Engagement of our professional Services requires a separate written Service Agreement executed by both parties. These Terms do not create a client relationship or obligate us to perform any Services. The terms of any Service Agreement, including provisions related to scope of work, fees, payment terms, confidentiality, intellectual property rights in work product, and warranties specific to the Services, shall be set forth in such agreement and shall control over any conflicting provisions in these Terms with respect to the Services described therein.

15. Electronic Communications

When you use the Site or send communications to us electronically, you consent to receive communications from us electronically. We may communicate with you by email, by posting notices on the Site, or through other electronic means. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.

16. General Provisions

16.1 Entire Agreement

These Terms, together with the Privacy Policy and any applicable Service Agreement, constitute the entire agreement between you and Warm Taste Lodge LLC regarding your use of the Site and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, whether written or oral, regarding such subject matter.

16.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to reflect the parties original intent to the fullest extent permitted by law, and the remaining provisions of these Terms shall continue in full force and effect.

16.3 Waiver

No waiver by us of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure by us to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

16.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations under these Terms without restriction. Any attempted assignment in violation of this provision shall be void.

16.5 Force Majeure

We shall not be liable for any delay or failure to perform resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, utility failures, internet or telecommunications disruptions, governmental actions, epidemics, or pandemics.

16.6 Relationship of the Parties

Nothing in these Terms shall be construed to create a partnership, joint venture, agency, or employment relationship between you and Warm Taste Lodge LLC. You have no authority to bind us in any respect.
